Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Rainman Studio website or engaging our services.

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Services

Rainman Studio provides software development, automation, and design services ("Services"). The specific deliverables, timelines, and costs for any project will be outlined in a separate Statement of Work (SOW) or Contract Agreement signed by both parties.

3. Intellectual Property

Upon full payment for the Services, Rainman Studio assigns to the Client all right, title, and interest in and to the custom software code, designs, and assets created specifically for the Client under the agreement. Rainman Studio retains the right to reuse generic code libraries, tools, and underlying frameworks that were not created exclusively for the Client.

4. Payment Terms

Unless otherwise specified in a Statement of Work, invoices are due upon receipt. We reserve the right to pause or terminate Services if payments are not made in a timely manner. Late payments may be subject to interest charges.

5. Limitation of Liability

In no event shall Rainman Studio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

6. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
